QUESTION ONE
a) After graduating from KCA University, you’ve teamed up with three other
classmates and incorporated PROSOL Ltd, a company dealing in programming
solutions. As the administration manager in the company, you are required to draft
an employment contract for programmers for adoption by the Board of Directors.

b) As a director at PROSOL Ltd, would you encourage the staff to join a trade
union? Support your answer with four practical reasons. (10 Marks)
c) Accounting estimates reveal that PROSOL Ltd. requires startup capital of Ksh. 3
millions. Being fresh from college, the shareholders are unable to raise the capital.
Advice the directors on four likely sources of capital. Justify your choice.
